Agreement Version and Amendment Effective Date

Separate a document version, signature dates, stated effective date and system entry when a fictional amendment contains conflicting wording.

Four Fields, Four Different Clues

A document's filename, signatures, date clauses and filing history provide different evidence. The four fields below are OpenAid reading aids, not universal legal definitions or a rule for choosing which clause prevails.

FieldQuestion It AnswersEvidence to InspectWhat It Cannot Prove Alone
VersionWhich document is this?Full file and version historyThat its terms are operative
Signature dateWhen does a signature say it was made?Signature block and relevant signing recordThe start of every obligation
Stated effective dateWhat start date does the wording state?Full clause and related provisionsHow conflicting provisions are resolved
System entry dateWhen was the file recorded here?Administrative entry recordApproval or legal effect

A Fictional Conflicting Pair

Agreement K's amendment file is named K-Amend2-FINAL-v4.pdf. It was uploaded and entered in the system on November 12, 2026. The signatures are dated November 5 and November 9. Clause 3 says “effective November 1, 2026”; its cover instead says “effective on date of last signature.” Version 3 contains those same conflicting sentences.

EvidencePossible Reading to ResolveWhat Remains Open
Clause 3November 1 is the stated effective date thereIts relationship to the cover wording
Cover and signature datesNovember 9 is the last stated signature dateWhether that cover provision governs
Version 4 and November 12 entryIdentify a file and administrative eventWhether either resolves the conflict

The amendment also says a report is due 15 days after the effective date. Under this exercise's invented convention, exclude the effective day and add 15 calendar days: November 1 leads to November 16; November 9 leads to November 24. The alternatives are eight days apart. Neither is declared the actual deadline. A real agreement may define counting, notices and precedence differently.

The Filename Mistake

“FINAL” and “v4” cannot explain why unchanged conflicting clauses should produce a different answer from version 3. An entry made on November 12 also cannot, by itself, settle a start date stated elsewhere. Keeping each clue distinct exposes the unresolved question without choosing an operative date.

Human Boundary

The agreement owner obtains an authoritative interpretation under the actual terms and delegation, including written counterparty confirmation where required. Qualified legal review may be needed. This page supplies neither an interpretation nor a filing procedure.

Sources and Scope

The Charity Commission's 2011 partnership checklist distinguishes agreement details and implementation periods; it is not a model contract. Decision guidance, November 2020, supports keeping decision records. CC8, November 2024, provides financial-control context; CC26, updated September 2026, addresses risk management; CC34, March 2024, discusses proportionate written collaboration agreements. All concern England and Wales charities and supply no universal amendment-date precedence. For a separate working task, see the amendment request working draft.
