Name the Conflict Before Asking for More Work
An intermediary can face an upstream deadline that does not fit a partner's records or staffing. The answer is neither to forward the pressure unchanged nor to waive a term without authority. Identify what the upstream decision needs, what evidence is actually available and who can agree a different arrangement.
The following is an original fictional negotiation. Contributor C requires intermediary I's quarterly consolidated cost statement by day 10. Partner A can close its checked cost records by day 15. The upstream agreement's actual amendment/clarification route is available to I; no general waiver power is supplied. Dates are exercise terms, not standard reporting periods.
Diagnose the Gap With the Partner
Ask A why day 15 is needed: bank reconciliation, remote receipts, staff capacity or another specific dependency. Distinguish checked actuals from an estimate and a missing record. I should also check whether its own day-5 request is an upstream duty or a buffer it chose. Reducing an internal buffer may help, but cannot make unavailable evidence exist.
| Option | Benefit | Condition or Risk |
|---|---|---|
| Earlier preparation/support | Could bring the real close forward | A agrees what help is useful; I funds or supplies feasible support without bypassing checks |
| Clearly labeled provisional figures, later reconciliation | Could inform C earlier | C's actual terms and authorized role must accept that evidence; estimates must not be called checked actuals |
| Revised due date | Could preserve the necessary checks | I seeks the required upstream decision; it cannot promise approval before C decides |
| Narrower requested detail | Could reduce duplicate compilation | The reduced product must still meet the material information need and applicable duty |
There may be no acceptable workaround. Then I must explain the risk and consequence honestly to the authorized owner rather than submit invented completion.
A Worked Exchange
A tells I: Our reconciliation is complete on day 15. We can provide a provisional ledger on day 8, but two remote expense batches will remain unverified. Please confirm whether that is useful and permitted; we cannot certify it as final.
I checks the upstream clause and replies: The current duty requests a consolidated cost statement by day 10; the clause does not resolve provisional figures. We will request a written clarification from the authorized grant role, with the proposed caveat and day-18 reconciled version. Until then, neither route is approved. We will also review whether our request duplicates your existing ledger.
In the fictional outcome, C's authorized role agrees for this quarter only: a day-10 provisional statement explicitly identifying unverified items, followed by a day-18 reconciliation and explanation of changes. I records the decision reference, covered quarter, evidence definitions and owners, then confirms the arrangement with A. This is an invented authorized outcome, not a general entitlement or a change to other quarters. If C had declined, I would have needed another feasible authorized option or an honest escalation of nonperformance.
Preserve the Quality Distinction in the Final Report
Keep provisional, checked and corrected figures identifiable. Reconcile changes to the first version and explain material differences. Do not ask the partner to sign a certification its evidence cannot support. Protect sensitive records and avoid sending raw payroll or personal data merely because a summary deadline is urgent.
For repeated conflicts, revisit the original design, recipient effort and the decision the report serves. Use the reporting-schedule comparison. For the source of the duty, use upstream-condition tracing. No reporting convenience releases either organization from other actual legal, contractual or safeguarding duties.
Source and Scope
What to Require of Grantees, agreement complexity and reporting sections, cautions about unnecessary burden in US philanthropy. The negotiation and dates here are fictional; the source grants no intermediary waiver power.
