Trace a Requirement Before Passing It On
An upstream agreement may require an intermediary to secure particular duties from delivery partners. Other clauses concern the intermediary alone. Still others need interpretation. Copying an entire agreement into every partner contract can impose unnecessary, impossible or inappropriate requirements without resolving responsibility.
Work from the actual complete agreement and incorporated documents. Use qualified contract, finance, protection or other review for consequential interpretation. This tutorial is an original fictional trace exercise, not legal advice or a universal flow-down list.
Four Fictional Clauses, Four Different Actions
Contributor C funds intermediary I, which works with partners A and B. Only the invented excerpts below are supplied; a real review must cover the whole agreement. The labels are practice references, not actual clauses.
| Upstream Excerpt | Classification in This Exercise | Downstream Action and Owner |
|---|---|---|
| U1: I must submit a consolidated cost statement by day 10 after each quarter | I's reporting duty; no partner date stated | I's finance owner designs a feasible evidence schedule with partners; a day-5 partner deadline would be I's proposed operating choice, not a quoted U1 duty |
| U2: I must ensure partner agreements require records supporting charged costs and access under the defined authorized review process | Express obligation to secure specified downstream terms | Agreement owner traces exact scope, access safeguards and required partner language; finance verifies feasible records and owners |
| U3: I must retain its agreement file under the stated retention provision | I's own file duty as supplied | Do not infer the identical partner period or unrestricted access; review any other applicable partner and legal duties |
| U4: No transfer to another organization without prior written consent from C | Potential constraint on partner funding | Stop the affected commitment proposal for qualified clarification: does the approved partner arrangement satisfy this, or is separate consent required? |
The appropriate answer can be a new partner term, a supported workflow, an internal action or an unresolved legal question. All are more precise than marking every clause flow down.
Turn U2 Into a Controlled Working Record
Record exact quotation and document/version; who owes the duty upstream; which partner/work it concerns; required effect; proposed downstream wording or action; qualified reviewer; partner feasibility/privacy question; authorized acceptance; evidence and review trigger. Preserve the distinction between a requirement and the organization's preferred way to meet it.
For U2, the partner may ask who can see receipts and whether payroll evidence can be minimized. I cannot promise unlimited access if the upstream process is narrower, nor waive a required review because records are sensitive. The owners identify a permitted evidence/access arrangement or escalate the conflict. A signed data clause is not proof that every transfer is safe or lawful.
Check Both Directions
The intermediary checks that the downstream arrangement meets the actual requirement and that it has not promised upstream something partners cannot do. The partner checks what it is being asked to accept, the resources required and who can clarify ambiguity. Silence or acceptance of another unrelated clause does not settle the disputed duty.
When terms change, revisit the relevant rows and partner communication. Do not send sensitive full agreements to every delivery worker; provide the duties and channels each role actually needs. Keep the source documents available to authorized reviewers so the simplified summary can be checked.
Avoid Two Opposite Errors
Under-transfer leaves an obligation without an effective owner or partner term. Over-transfer makes the partner appear responsible for the contributor's entire governance system. Neither is solved by longer paperwork. Use alternative-evidence exchange when the needed assurance can be met differently, and capacity negotiation when timing or effort conflicts remain.
Source and Scope
GovS 015 risk and assurance guidance, September 2026, Controls/Assurance, provides UK government context for responsibility. U1-U4 and the trace are fictional, not prescribed NGO clauses or a determination of an actual flow-down duty.
